Agreement to these terms
These Terms of Use govern your access to and use of visionshiftcatalyst.com, path.visionshiftcatalyst.com, and any landing page, registration page, resource, or digital material operated by Vision Shift Catalyst, LLC ("Vision Shift Catalyst," "we," "us," or "our"). By accessing our sites or using our resources, you agree to these terms. If you do not agree, please do not use our sites.
Who we are
Vision Shift Catalyst, LLC is a limited liability company organized under the laws of the State of Texas, providing consulting, evaluation, training, and educational resources to educational institutions, nonprofit organizations, and public sector agencies.
Changes to these terms
We may update these terms from time to time. The revised version takes effect on the date posted, and the "last updated" date above will reflect the change. Your continued use of our sites after a change means you accept the revised terms.
Permission to use our sites
We grant you a limited, personal, non-exclusive, non-transferable, revocable license to access and use our sites and freely offered resources for your own professional and organizational purposes. This license does not permit resale, redistribution, or commercial exploitation of our content.
Our intellectual property
All content on our sites and in our resources is owned by Vision Shift Catalyst, LLC or used with permission, and is protected by copyright, trademark, and other intellectual property laws. This includes written content, briefs, articles, frameworks, methods, models, assessments, rubrics, worksheets, templates, checklists, curricula, workshop materials, graphics, logos, page design, and the selection and arrangement of all of the foregoing.
The names, frameworks, and methods we use to describe our work are proprietary to Vision Shift Catalyst, whether or not they carry a trademark symbol.
You may not copy, reproduce, republish, distribute, sell, license, adapt, or create derivative works from our content without our prior written permission, except as follows:
- You may download and use resources we offer for that purpose within your own organization
- You may quote brief excerpts for commentary, teaching, or scholarship with clear attribution to Vision Shift Catalyst, LLC
- You may share links to our pages freely
Nothing in these terms transfers ownership of any Vision Shift Catalyst intellectual property to you.
Materials provided in paid engagements
Deliverables prepared for a client under a signed agreement are governed by that agreement, which controls if it conflicts with these terms. Unless the agreement says otherwise, we retain ownership of the underlying frameworks, methods, templates, and tools used to produce a deliverable, and the client receives a license to use the deliverable for its own internal purposes.
Content you submit to us
When you send us questions, comments, feedback, survey responses, or other material, you confirm you have the right to share it, and you grant us permission to use it to operate and improve our services. If we use your feedback publicly, such as in a testimonial, we will ask your permission first.
Do not send us confidential or proprietary information through our website forms or general email. Confidential information should be exchanged only under a signed agreement through channels we designate.
Acceptable use
You agree not to:
- Use our sites for any unlawful purpose or in violation of these terms
- Copy, scrape, harvest, or mine content from our sites by automated means
- Attempt to gain unauthorized access to our sites, accounts, or systems
- Interfere with or disrupt the operation or security of our sites
- Misrepresent your identity or your affiliation with any organization
- Use our content to create a competing product, service, or training offering
- Remove or alter any copyright, trademark, or attribution notice
Purchases and registrations
Purchases of workshops, programs, or digital products are subject to the terms presented at the time of purchase, including any event-specific registration terms, cancellation policies, and refund policies. Those terms are incorporated into this agreement for the transaction they govern. Payments are processed by our third-party payment provider under its own terms.
Educational purpose and no professional relationship
Our sites, briefs, resources, and workshops are educational in nature. They are provided for general informational purposes and do not constitute legal, financial, accounting, tax, or regulatory compliance advice, and they do not create a consulting, advisory, or professional relationship between you and Vision Shift Catalyst.
Institutional context varies. Program requirements, funder rules, and regulatory obligations differ by organization and change over time. You are responsible for verifying how any information applies to your own institution, and for consulting qualified professionals regarding your specific circumstances.
No guarantee of outcomes
We do not guarantee any particular result from the use of our content, resources, workshops, or services. This includes, without limitation, any guarantee that a grant application will be funded, that an award will be renewed, that a program will meet performance targets, that an audit or monitoring review will produce a particular finding, or that any specific improvement in outcomes will occur.
Funding decisions are made by funders according to their own criteria, priorities, budgets, and processes, all of which are outside our control. Examples, case illustrations, and descriptions of past work reflect particular circumstances and are not representations that similar results will be achieved.
Accuracy of content
We work to keep our content accurate and current, but we do not warrant that it is complete, accurate, or up to date. Content may be changed or removed at any time without notice.
Third-party links and services
Our sites link to and rely on third-party websites, platforms, and services we do not control. We are not responsible for their content, availability, security, or practices. Your use of a third-party service is governed by that provider's own terms and privacy policy.
Availability of our sites
We do not guarantee that our sites will be available at all times or free from interruption, delay, or error. We may modify, suspend, or discontinue any part of our sites or resources at any time.
Disclaimer of warranties
Our sites, content, and resources are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and accuracy.
Limitation of liability
To the fullest extent permitted by law, Vision Shift Catalyst, LLC and its members, officers, employees, and contractors will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for lost profits, lost funding, lost data, or business interruption, arising out of or relating to your use of our sites, content, or resources.
To the fullest extent permitted by law, our total liability for any claim arising out of or relating to your use of our sites, content, or freely offered resources will not exceed one hundred dollars ($100). Liability arising from a paid engagement is governed by the applicable signed agreement.
Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.
Indemnification
You agree to indemnify and hold harmless Vision Shift Catalyst, LLC and its members, officers, employees, and contractors from any claims, losses, liabilities, damages, costs, and expenses, including reasonable attorneys' fees, arising out of your use of our sites, your violation of these terms, or your violation of any law or the rights of any third party.
Governing law and venue
These terms are governed by the laws of the State of Texas, without regard to its conflict of laws provisions. Any dispute arising out of or relating to these terms or your use of our sites will be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the jurisdiction of those courts.
Severability
If any provision of these terms is found unenforceable, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will stay in full force.
No waiver
Our failure to enforce any provision of these terms is not a waiver of our right to enforce it later.
Entire agreement
These terms, together with our Privacy Policy and any event-specific or engagement-specific terms, constitute the entire agreement between you and Vision Shift Catalyst regarding your use of our sites and freely offered resources.
